GIVEAWAY ENTRY PERIOD & SPONSOR: The “DUNK POOL GIVEAWAY” (the “Giveaway”) starts at the completion of the first game of the NBA Playoffs’ Conference Finals and ends when all Credits have been claimed or May 31, 2023, whichever occurs earlier (the “Giveaway Period”). The sponsor of this Giveaway is AT&T Mobility LLC, 1025 Lenox Park Blvd., NE, Atlanta, Georgia 30319 (the “Sponsor”). Giveaway is subject to these official rules (the “Official Rules”). By entering, Entrant (defined below) agrees to be bound by the terms and conditions herein, which are binding and final on all matters relating to the Giveaway, and to be bound by all applicable federal, state and local laws.

ELIGIBILITY: Giveaway is open only to legal residents of and who are physically located in the fifty (50) United States and the District of Columbia (collectively the “Eligibility Area”), who as of the date of their entry into the Giveaway are at least majority age or older in their state of residence: 18 years of age in most states, 19 in Alabama and Nebraska and 21 in Mississippi (check your state if you are in doubt). Void in Puerto Rico, all other U.S. territories and possessions and overseas military installations and where prohibited. Participants must be AT&T Wireless post-paid or pre-paid customers  before May 12, 2023 to be eligible. Participants are considered customers if they have a mobile line under an AT&T Wireless post-paid or pre-paid account. FirstNet and Family and FirstNet Subscriber Paid Users are eligible. AT&T Corporate Responsibility User (CRU), FirstNet Agency Paid, and Cricket customers are not eligible. Employees and their immediate family members (spouses, parents, legal guardians, in-laws, siblings, children, grandparents, grandchildren, step parents, step children, step siblings and their spouses, of Sponsor, NBA Properties, Inc., the National Basketball Association (the “NBA”), and the NBA member teams (collectively, the “NBA Entities”), ESPN Inc. (“ESPN”), TNT Interactive Group, Inc. (“TNT”), and each of their respective officers, directors, affiliates, subsidiaries, parent companies, partners, dealers, manufacturers, distributors, sponsors, advertising and promotion agencies  and any entity which is involved in any aspect of the  creation, production, operation, execution or fulfillment of the Giveaway (collectively, the “Giveaway Entities”) and those living in the household of same (whether legally related or not) are not eligible to enter or win in the Giveaway. An eligible person meeting these requirements is referred to herein as an “Entrant.”

HOW IT WORKS: For each slam dunk completed during the NBA Conference Finals, Sponsor will add five thousand dollars ($5,000) in credit to a “Dunk Pool”. Sponsor will add funds to the Dunk Pool after each game in the NBA Conference Finals. Funds will be added by no later than 5pm ET the following day. After funds are added to the Dunk Pool, they can be claimed by Entrants who successfully complete the entry steps detailed below. Each Entrant may receive fifty dollars ($50) in credit, which the Sponsor will provide in the form of a code valid for a fifty-dollar ($50) gift card to the NBA’s retail website, NBAstore.com (each, a “Credit”). Sponsor will provide Credits on a first come, first served basis until all Credits are claimed. For each Credit claimed by Entrant, Sponsor will donate ten dollars ($10) to Human-I-T. Sponsor will provide up to five hundred thousand dollars ($500,000) total to the Dunk Pool and one hundred thousand ($100,000) in donations, after which funds will not be added for additional slam dunks and additional Credits cannot be claimed.

HOW TO ENTER: During the Giveaway Period, Entrants can enter the Giveaway at https://www.att.com/dunkpool (the “Landing Page”). In order to enter, Entrants must provide their first name, last name, zip code, and AT&T phone number as requested by the form provided on the Landing Page (each, an “Entry”). The phone number submitted at entry will be used to determine if the participant is an eligible AT&T account holder. One (1) entry per eligible AT&T Wireless post-paid or pre-paid account.

WINNER SELECTION AND NOTIFICATION: While supplies last, each Entrant that successfully completes an Entry will receive a Credit (each, a “Winner”).

Each Credit will be delivered via a SMS message to the phone number that the Winner used to enter the Giveaway. Each Credit will be delivered within one (1) business day following an Entry. Sponsor is not responsible for any failure of attempted delivery of a Credit using the above-referenced methods. 

WHAT YOU CAN WIN: Each Credit is one code valid for a fifty-dollar ($50) gift card to the NBA’s retail website, NBAstore.com. One (1) Credit per eligible AT&T Wireless post-paid or pre-paid account. In the event that participants hold different lines under the same eligible AT&T Wireless account, they will be sent the same code valid for a $50 gift card to NBAstore.com. The Credits can only be used at NBAstore.com and are provided “as is” without warranty of any kind. Credits do not expire. Credits are non-transferable, non-refundable, and non-redeemable for cash. The NBA may place additional restrictions upon use of gift cards, and gift cards are subject to any restrictions provided at https://store.nba.com/gift-cards/gc-1. No substitution allowed. Sponsor reserves the right to substitute a gift card of comparable or greater value at any time in its sole discretion. 

The number of Credits awarded depends on the number of slam dunks completed during the NBA Conference Finals. The NBA will determine and communicate to Sponsor at the end of each game how many slam dunks were officially recorded. For each slam dunk recorded by the NBA, Sponsor will add $5,000, valid for 100 Credits, to the Dunk Pool. The maximum number of Credits that will be awarded is ten thousand (10,000). At any point if there is $500,000 in the Dunk Pool, which is equivalent to 10,000 Credits, then no credit will be contributed to the Dunk Pool for additional dunks. The approximate retail value (“ARV”) of Credits that could be awarded ranges from zero dollars ($0) to five hundred thousand dollars ($500,000) depending on the number of slam dunks during the NBA Conference Finals.

For each Credit claimed, Sponsor will donate ten dollars ($10) to Human-I-T (“Donation”). The maximum available number of Credits is 10,000, and the maximum donation amount to Human-I-T is one hundred thousand dollars ($100,000). Donations will be provided directly to Human-I-T from Sponsor and will not be provided to Entrants.

In the event all Credits have not been claimed by Winners at the end of the Giveaway Period, any unclaimed Credits or Donations will remain the property of Sponsor or its designee. 

All federal, state and local tax liabilities are the responsibility of each Winner. 

WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE GIVEAWAY. AN ENTRANT IS NOT A WINNER UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.   

RELEASES: The Giveaway Entities and each of their respective affiliates, subsidiaries, parent corporations, retailers and advertising and promotional agencies, and all of their officers, directors, shareholders, employees and agents (collectively, “Releasees”) are not responsible for: any incorrect or inaccurate Entry information; human errors; technical malfunctions; failures, omissions, interruptions, deletions or defects of any computer systems, computer equipment, or software; theft, tampering, destruction, or unauthorized access to, or alteration of, Entries; data that is processed late or incorrectly or is incomplete or lost or for any other reason whatsoever; Entries that are late, lost, misdirected; typographical, printing or other errors; or any combination thereof. Proof of submitting Entry through the Landing Page is not considered proof of delivery or receipt. Illegible, incomplete, mechanically reproduced and duplicate Entries and Entries that do not meet the eligibility requirements stated herein will be disqualified. All Entries become the property of the Sponsor and will not be acknowledged or returned. False, fraudulent or deceptive Entries or acts shall render Entrants ineligible. By entering the Giveaway, Entrants affirm that they have read and accepted these Official Rules.  

EXCEPT WHERE PROHIBITED BY LAW, WINNERS GRANT TO SPONSOR, ESPN, THE NBA ENTITIES, AND TNT, THEIR SUBSIDIARIES, AFFILIATES, RETAILERS, DISTRIBUTORS, ADVERTISING AND SWEEPSTAKES AGENCIES, SUPPLIERS, AND THOSE ACTING PURSUANT TO THEIR AUTHORITY, THE RIGHT AND PERMISSION TO PRINT, PUBLISH, BROADCAST, AND USE, WORLDWIDE IN ANY MEDIA NOW KNOWN OR HEREAFTER DEVELOPED, INCLUDING, BUT NOT LIMITED TO, THE WORLD WIDE WEB, AT ANY TIME OR TIMES, EACH WINNER’S NAME, PORTRAIT, PICTURE, VOICE, LIKENESS, AND BIOGRAPHICAL INFORMATION FOR ADVERTISING, TRADE, AND PROMOTIONAL PURPOSES (INCLUDING THE ANNOUNCEMENT OF HIS OR HER NAME ON TELEVISION OR RADIO BROADCAST) WITHOUT ADDITIONAL CONSIDERATION, COMPENSATION, PERMISSION, OR NOTIFICATION.

GOVERNING LAW/DISPUTES: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of Entrants and Releasees in connection with the Giveaway will be governed by and construed in accordance with the internal laws of the State of Georgia, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s laws. By entering the Giveaway, Entrants hereby submit to the jurisdiction and venue of the federal and state courts of Fulton County, Georgia, United States and waive the right to have disputes arising out of the subject matter hereof adjudicated in any other forum.   

BY ENTERING AND PARTICIPATING IN THE GIVEAWAY, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW AND FOR ALL RELEASEES: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE GIVEAWAY, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED FIFTY DOLLARS ($50.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED FIFTY DOLLARS ($50.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU. 

FORCE MAJEURE: Releasees shall not be liable to Entrants, Winners, or any other person if the Giveaway cannot operate as intended, or for failure to supply a Credit or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, pandemic, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, network or computer problems, internet problems, hacking, computer viruses, unauthorized computer access, tampering, or any other cause beyond Sponsor’s sole control. 

GENERAL: If for any reason this Giveaway is not capable of running as planned, or if this Giveaway becomes corrupted or does not allow the proper playing of the Giveaway and processing of Entries in accordance with these Official Rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by Entrants, fraud, technical failures, or any other causes, in the Sponsor’s sole opinion, corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Giveaway, the Sponsor reserves the right, at its sole discretion, to disqualify any individual implicated in such action and/or to cancel, terminate, modify, or suspend this Giveaway or any portion thereof. In the event this Giveaway is canceled, the Sponsor may award the stated Credits from among all eligible, non-suspect Entries received prior to the time of the action or event warranting such cancellation. If such cancellation, termination, modification, or suspension occurs, notification will be posted at the Landing Page and/or announced via Sponsor’s social media. The Releasees are not responsible for the actions of Entrants in connection with the Giveaway, including Entrants’ attempts to circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Giveaway. Persons found tampering with or abusing any aspect of this Giveaway, or Sponsor believes to be causing malfunction, error, disruption or damage may be disqualified. Additionally, any attempt to cheat the Giveaway, as determined at the sole and absolute discretion of Sponsor, may result in immediate disqualification of the Entrant, as well as other possible consequences, including disqualification from any and all existing and future Giveaway, contest or promotion. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY IS A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. 

NOTE: Entry must be made by the Entrant only as detailed above. Entries made by any other individual or business including, but not limited to, commercial Giveaway subscription notification and/or entering service sites, will be declared invalid and disqualified for this Giveaway. Entries generated by automated means are void and may be disqualified. The use of any device to automate the Entry process is prohibited. Entries or other Giveaway materials that are incomplete, illegible, corrupted, damaged, destroyed, forged, false, lost, late, deceptive, in greater quantity than the limit stated above or otherwise not in compliance with the Official Rules may be disqualified from the Giveaway at Sponsor’s sole and absolute discretion.

DISCLAIMERS AND LIMITATION OF LIABILITY; DISCLAIMER OF WARRANTIES.

BY PARTICIPATING IN THE GIVEAWAY, EACH ENTRANT AGREES: (I) TO BE BOUND BY THESE OFFICIAL RULES AND ALL APPLICABLE LAWS; (II) TO WAIVE ANY RIGHTS TO CLAIM AMBIGUITY WITH RESPECT TO THESE OFFICIAL RULES AND ANY PROMOTIONAL MATERIALS RELATED TO THE GIVEAWAY; (III) WAIVE ALL OF HIS/HER RIGHTS TO BRING ANY CLAIM, ACTION, OR PROCEEDING AGAINST ANY OF THE GIVEAWAY ENTITIES; AND (IV) TO RELEASE EACH OF THE RELEASEES FROM ANY LIABILITY (INCLUDING, BUT NOT LIMITED TO, LIABILITY FOR ANY PROPERTY LOSS, DAMAGE, PERSONAL INJURY, BODILY INJURY, DEATH, LOSS, EXPENSE, ACCIDENT, DELAY, INCONVENIENCE OR IRREGULARITY) THAT MAY ARISE IN CONNECTION WITH, AS APPLICABLE: (A) ENTRANT’S PARTICIPATION OR INABILITY TO PARTICIPATE IN THE GIVEAWAY OR PART THEREOF; (B) TYPOGRAPHICAL ERRORS IN THE OFFICIAL RULES OR ANY GIVEAWAY-RELATED PROMOTIONAL MATERIAL; (C) ACCEPTANCE OR POSSESSION, DEFECTS IN, USE, MISUSE OR INABILITY TO USE ANY PRIZE (OR ANY COMPONENT THEREOF); (D) ANY CHANGE IN PRIZING AS PERMITTED HEREUNDER OR OTHERWISE DUE TO REASONS BEYOND ANY OF THE GIVEAWAY ENTITIES’ CONTROL; (E) HUMAN ERROR; (F) INCORRECT OR INACCURATE TRANSCRIPTION, RECEIPT, TRANSMISSION, CODING, TRANSCODING, OR COMPUTING OF ANY MATERIALS; (G) ANY LOST/DELAYED DATA TRANSMISSIONS, OMISSIONS, INTERRUPTIONS, DEFECTS, AND/OR ANY OTHER ERRORS OR MALFUNCTIONS; (H) ANY WRONGFUL, NEGLIGENT, OR UNAUTHORIZED ACT OR OMISSION ON THE PART OF ANY ENTRANT OR INDIVIDUAL PURPORTING TO ACT ON BEHALF OF ANY SUCH ENTRANT, AND/OR ANY OF THE GIVEAWAY ENTITIES AND/OR ANY OF THEIR AGENTS, EMPLOYEES OR AUTHORIZED DESIGNEES; (I) ANY WRONGFUL, NEGLIGENT, OR UNAUTHORIZED ACT OR OMISSION ON THE PART OF ANY OTHER PERSON OR ENTITY NOT AN EMPLOYEE OF ANY OF THE GIVEAWAY ENTITIES; OR (J) ANY OTHER CAUSE, CONDITION OR EVENT WHATSOEVER BEYOND THE CONTROL OF ANY ONE (1) OR MORE OF THE GIVEAWAY ENTITIES. WINNERS HEREBY ACKNOWLEDGE THAT THE GIVEAWAY ENTITIES HAVE NEITHER MADE NOR ARE IN ANY MANNER RESPONSIBLE OR LIABLE FOR ANY WARRANTY, REPRESENTATION OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO ANY PRIZE OR COMPONENT THEREOF. 

MISCELLANEOUS: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Giveaway-related materials, privacy policy or terms of use and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.

NO INJUNCTIVE RELIEF:  EACH ENTRANT UNDERSTANDS AND AGREES THAT HE/SHE SHALL HAVE NO RIGHT TO ENJOIN OR RESTRAIN THE DEVELOPMENT, PRODUCTION, ADVERTISING, PROMOTION, DISTRIBUTION OR EXPLOITATION OF THE GIVEAWAY OR ANY OTHER PRODUCTION OR PROJECT OF SPONSOR OR ANY OF ITS AFFILIATES.

WINNER SELECTION AND NOTIFICATION: While supplies last, each Entrant that successfully completes an Entry will receive a Credit (each, a “Winner”).

Each Credit will be delivered via a SMS message to the phone number that the Winner used to enter the Giveaway. Each Credit will be delivered within one (1) business day following an Entry. Sponsor is not responsible for any failure of attempted delivery of a Credit using the above-referenced methods. 

WHAT YOU CAN WIN: Each Credit is one code valid for a fifty-dollar ($50) gift card to the NBA’s retail website, NBAstore.com. One (1) Credit per eligible AT&T Wireless post-paid or pre-paid account. In the event that participants hold different lines under the same eligible AT&T Wireless account, they will be sent the same code valid for a $50 gift card to NBAstore.com. The Credits can only be used at NBAstore.com and are provided “as is” without warranty of any kind. Credits do not expire. Credits are non-transferable, non-refundable, and non-redeemable for cash. The NBA may place additional restrictions upon use of gift cards, and gift cards are subject to any restrictions provided at https://store.nba.com/gift-cards/gc-1. No substitution allowed. Sponsor reserves the right to substitute a gift card of comparable or greater value at any time in its sole discretion. 

The number of Credits awarded depends on the number of slam dunks completed during the NBA Conference Finals. The NBA will determine and communicate to Sponsor at the end of each game how many slam dunks were officially recorded. For each slam dunk recorded by the NBA, Sponsor will add $5,000, valid for 100 Credits, to the Dunk Pool. The maximum number of Credits that will be awarded is ten thousand (10,000). At any point if there is $500,000 in the Dunk Pool, which is equivalent to 10,000 Credits, then no credit will be contributed to the Dunk Pool for additional dunks. The approximate retail value (“ARV”) of Credits that could be awarded ranges from zero dollars ($0) to five hundred thousand dollars ($500,000) depending on the number of slam dunks during the NBA Conference Finals.

For each Credit claimed, Sponsor will donate ten dollars ($10) to Human-I-T (“Donation”). The maximum available number of Credits is 10,000, and the maximum donation amount to Human-I-T is one hundred thousand dollars ($100,000). Donations will be provided directly to Human-I-T from Sponsor and will not be provided to Entrants.

In the event all Credits have not been claimed by Winners at the end of the Giveaway Period, any unclaimed Credits or Donations will remain the property of Sponsor or its designee. 

All federal, state and local tax liabilities are the responsibility of each Winner. 

WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE GIVEAWAY. AN ENTRANT IS NOT A WINNER UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.   

RELEASES: The Giveaway Entities and each of their respective affiliates, subsidiaries, parent corporations, retailers and advertising and promotional agencies, and all of their officers, directors, shareholders, employees and agents (collectively, “Releasees”) are not responsible for: any incorrect or inaccurate Entry information; human errors; technical malfunctions; failures, omissions, interruptions, deletions or defects of any computer systems, computer equipment, or software; theft, tampering, destruction, or unauthorized access to, or alteration of, Entries; data that is processed late or incorrectly or is incomplete or lost or for any other reason whatsoever; Entries that are late, lost, misdirected; typographical, printing or other errors; or any combination thereof. Proof of submitting Entry through the Landing Page is not considered proof of delivery or receipt. Illegible, incomplete, mechanically reproduced and duplicate Entries and Entries that do not meet the eligibility requirements stated herein will be disqualified. All Entries become the property of the Sponsor and will not be acknowledged or returned. False, fraudulent or deceptive Entries or acts shall render Entrants ineligible. By entering the Giveaway, Entrants affirm that they have read and accepted these Official Rules.  

EXCEPT WHERE PROHIBITED BY LAW, WINNERS GRANT TO SPONSOR, ESPN, THE NBA ENTITIES, AND TNT, THEIR SUBSIDIARIES, AFFILIATES, RETAILERS, DISTRIBUTORS, ADVERTISING AND SWEEPSTAKES AGENCIES, SUPPLIERS, AND THOSE ACTING PURSUANT TO THEIR AUTHORITY, THE RIGHT AND PERMISSION TO PRINT, PUBLISH, BROADCAST, AND USE, WORLDWIDE IN ANY MEDIA NOW KNOWN OR HEREAFTER DEVELOPED, INCLUDING, BUT NOT LIMITED TO, THE WORLD WIDE WEB, AT ANY TIME OR TIMES, EACH WINNER’S NAME, PORTRAIT, PICTURE, VOICE, LIKENESS, AND BIOGRAPHICAL INFORMATION FOR ADVERTISING, TRADE, AND PROMOTIONAL PURPOSES (INCLUDING THE ANNOUNCEMENT OF HIS OR HER NAME ON TELEVISION OR RADIO BROADCAST) WITHOUT ADDITIONAL CONSIDERATION, COMPENSATION, PERMISSION, OR NOTIFICATION.

GOVERNING LAW/DISPUTES: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of Entrants and Releasees in connection with the Giveaway will be governed by and construed in accordance with the internal laws of the State of Georgia, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s laws. By entering the Giveaway, Entrants hereby submit to the jurisdiction and venue of the federal and state courts of Fulton County, Georgia, United States and waive the right to have disputes arising out of the subject matter hereof adjudicated in any other forum.   

BY ENTERING AND PARTICIPATING IN THE GIVEAWAY, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW AND FOR ALL RELEASEES: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE GIVEAWAY, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED FIFTY DOLLARS ($50.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED FIFTY DOLLARS ($50.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU. 

FORCE MAJEURE: Releasees shall not be liable to Entrants, Winners, or any other person if the Giveaway cannot operate as intended, or for failure to supply a Credit or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, pandemic, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, network or computer problems, internet problems, hacking, computer viruses, unauthorized computer access, tampering, or any other cause beyond Sponsor’s sole control. 

GENERAL: If for any reason this Giveaway is not capable of running as planned, or if this Giveaway becomes corrupted or does not allow the proper playing of the Giveaway and processing of Entries in accordance with these Official Rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by Entrants, fraud, technical failures, or any other causes, in the Sponsor’s sole opinion, corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Giveaway, the Sponsor reserves the right, at its sole discretion, to disqualify any individual implicated in such action and/or to cancel, terminate, modify, or suspend this Giveaway or any portion thereof. In the event this Giveaway is canceled, the Sponsor may award the stated Credits from among all eligible, non-suspect Entries received prior to the time of the action or event warranting such cancellation. If such cancellation, termination, modification, or suspension occurs, notification will be posted at the Landing Page and/or announced via Sponsor’s social media. The Releasees are not responsible for the actions of Entrants in connection with the Giveaway, including Entrants’ attempts to circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Giveaway. Persons found tampering with or abusing any aspect of this Giveaway, or Sponsor believes to be causing malfunction, error, disruption or damage may be disqualified. Additionally, any attempt to cheat the Giveaway, as determined at the sole and absolute discretion of Sponsor, may result in immediate disqualification of the Entrant, as well as other possible consequences, including disqualification from any and all existing and future Giveaway, contest or promotion. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY IS A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. 

NOTE: Entry must be made by the Entrant only as detailed above. Entries made by any other individual or business including, but not limited to, commercial Giveaway subscription notification and/or entering service sites, will be declared invalid and disqualified for this Giveaway. Entries generated by automated means are void and may be disqualified. The use of any device to automate the Entry process is prohibited. Entries or other Giveaway materials that are incomplete, illegible, corrupted, damaged, destroyed, forged, false, lost, late, deceptive, in greater quantity than the limit stated above or otherwise not in compliance with the Official Rules may be disqualified from the Giveaway at Sponsor’s sole and absolute discretion.

DISCLAIMERS AND LIMITATION OF LIABILITY; DISCLAIMER OF WARRANTIES.

BY PARTICIPATING IN THE GIVEAWAY, EACH ENTRANT AGREES: (I) TO BE BOUND BY THESE OFFICIAL RULES AND ALL APPLICABLE LAWS; (II) TO WAIVE ANY RIGHTS TO CLAIM AMBIGUITY WITH RESPECT TO THESE OFFICIAL RULES AND ANY PROMOTIONAL MATERIALS RELATED TO THE GIVEAWAY; (III) WAIVE ALL OF HIS/HER RIGHTS TO BRING ANY CLAIM, ACTION, OR PROCEEDING AGAINST ANY OF THE GIVEAWAY ENTITIES; AND (IV) TO RELEASE EACH OF THE RELEASEES FROM ANY LIABILITY (INCLUDING, BUT NOT LIMITED TO, LIABILITY FOR ANY PROPERTY LOSS, DAMAGE, PERSONAL INJURY, BODILY INJURY, DEATH, LOSS, EXPENSE, ACCIDENT, DELAY, INCONVENIENCE OR IRREGULARITY) THAT MAY ARISE IN CONNECTION WITH, AS APPLICABLE: (A) ENTRANT’S PARTICIPATION OR INABILITY TO PARTICIPATE IN THE GIVEAWAY OR PART THEREOF; (B) TYPOGRAPHICAL ERRORS IN THE OFFICIAL RULES OR ANY GIVEAWAY-RELATED PROMOTIONAL MATERIAL; (C) ACCEPTANCE OR POSSESSION, DEFECTS IN, USE, MISUSE OR INABILITY TO USE ANY PRIZE (OR ANY COMPONENT THEREOF); (D) ANY CHANGE IN PRIZING AS PERMITTED HEREUNDER OR OTHERWISE DUE TO REASONS BEYOND ANY OF THE GIVEAWAY ENTITIES’ CONTROL; (E) HUMAN ERROR; (F) INCORRECT OR INACCURATE TRANSCRIPTION, RECEIPT, TRANSMISSION, CODING, TRANSCODING, OR COMPUTING OF ANY MATERIALS; (G) ANY LOST/DELAYED DATA TRANSMISSIONS, OMISSIONS, INTERRUPTIONS, DEFECTS, AND/OR ANY OTHER ERRORS OR MALFUNCTIONS; (H) ANY WRONGFUL, NEGLIGENT, OR UNAUTHORIZED ACT OR OMISSION ON THE PART OF ANY ENTRANT OR INDIVIDUAL PURPORTING TO ACT ON BEHALF OF ANY SUCH ENTRANT, AND/OR ANY OF THE GIVEAWAY ENTITIES AND/OR ANY OF THEIR AGENTS, EMPLOYEES OR AUTHORIZED DESIGNEES; (I) ANY WRONGFUL, NEGLIGENT, OR UNAUTHORIZED ACT OR OMISSION ON THE PART OF ANY OTHER PERSON OR ENTITY NOT AN EMPLOYEE OF ANY OF THE GIVEAWAY ENTITIES; OR (J) ANY OTHER CAUSE, CONDITION OR EVENT WHATSOEVER BEYOND THE CONTROL OF ANY ONE (1) OR MORE OF THE GIVEAWAY ENTITIES. WINNERS HEREBY ACKNOWLEDGE THAT THE GIVEAWAY ENTITIES HAVE NEITHER MADE NOR ARE IN ANY MANNER RESPONSIBLE OR LIABLE FOR ANY WARRANTY, REPRESENTATION OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO ANY PRIZE OR COMPONENT THEREOF. 

MISCELLANEOUS: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Giveaway-related materials, privacy policy or terms of use and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.

NO INJUNCTIVE RELIEF:  EACH ENTRANT UNDERSTANDS AND AGREES THAT HE/SHE SHALL HAVE NO RIGHT TO ENJOIN OR RESTRAIN THE DEVELOPMENT, PRODUCTION, ADVERTISING, PROMOTION, DISTRIBUTION OR EXPLOITATION OF THE GIVEAWAY OR ANY OTHER PRODUCTION OR PROJECT OF SPONSOR OR ANY OF ITS AFFILIATES.
