Official Rules

NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR HAVE A CHANCE TO WIN

CONTEST ENTRY PERIOD & SPONSOR: The “AT&T NBA Dream Experiences” Contest (the “Contest”) starts on/about 12:01 am Central Standard Time (“CST”) on 12/13/23 with the acceptance of Entries (defined below) and entry in the Contest ends on/about 11:59 pm CST on 1/3/24 (the “Contest Entry Period”) as detailed below. AN INTERNET CONNECTION IS REQUIRED TO PARTICIPATE IN THE CONTEST.

The Contest is sponsored by AT&T Services, Inc., a Delaware Company (the “Sponsor”) and by entering, Entrants (as defined below) agree to be bound by these “Official Rules”, which are binding and final on all matters relating to the Contest and to all applicable federal, state and local laws. The Contest consists of a skilled-based competition divided into two (2) distinct phases as detailed herein. In the initial entry phase of the Contest (“Essay Entry Phase”), Entrants meeting the age, residency and other requirements set forth below who are interested in participating in the Contest, must submit the Essays as defined and detailed below. Each such eligible individual named in the submission of their Essays in the Contest shall be herein referred to as a “Contest Entrant” or “Entrant” and the submitted required information and Essays, the “Contest Essay Entry”. At the end of the Entry Phase, a panel of Judges (as defined below) will judge the Contest Essay Entries based on the Judging Criteria (as defined below). All Contest Essay Entries shall be judged by the panel of Judges made up of marketing industry professionals. There will be three (3) Finalists determined for each of the prizes listed below as follows: The three (3) Entries scoring the three (3) highest total scores in the opinion of the Judges for each of the prizes will be declared to be the “Contest Finalists” or “Finalists” of the Contest and will then be provided with the opportunity to submit a video submission (“Finalist Video Submission”) in the “Finalist Video Phase”. The Finalist Video Submissions will then proceed to be judged by a second panel of Judges.

The Contest Essay Entries may be referred to hereafter individually as an “Entry” and collectively as “Entries”. The Finalist Video Submissions may be referred to hereafter individually as a “Submission” and collectively as “Submissions”.

ELIGIBILITY: Contest is open only to legal residents of the forty-eight (48) Continental United States and the District of Columbia (collectively the “Eligibility Area”), who as of the date of their entry into the Contest are eighteen (18) years of age or older AND were an AT&T customer (wireless or fiber) in good standing as of 12/12/23 (“Customer”). Additionally, prize winners must also be a Customer as of prize awarding. Note: Individuals who became AT&T customers as of 12/13/23 or a later date are not eligible to participate in the Contest. Contest is void in Alaska, Hawaii, Puerto Rico, all other U.S. territories and possessions and overseas military installations and where prohibited. Employees and their immediate family members (spouses, parents, legal guardians, in-laws, grandparents, siblings, children and grandchildren) of Sponsor, Wasserman Media Group, LLC (“Wasserman” or “Administrator”), NBA Properties, Inc., the National Basketball Association (the “NBA”) and the NBA member teams (collectively, the “NBA Entities”), West Coast Marketing, a division of The Susquehanna Hat Company and each of their respective officers, directors, affiliates, subsidiaries, parent companies, agents and advertising and promotion agencies (collectively, the “Contest Entities”) and those living in the household of same (whether legally related or not) are not eligible to enter or win. A prize won by an individual at least eighteen (18) years of age but considered a minor (“Minor”) in his/her legal jurisdiction of residency will be awarded in the name of said Minor’s parent or legal guardian.

HOW TO PARTICIPATE:

(1) All potential participants must submit an Essay Entry as further outlined below.
(2) Potential “Finalists” are also required to submit a Finalist Video Submission as further outlined below.

How to Submit an Essay Entry: Develop your unique Essay (“Essay”) in 500 characters or less that responds to the question: “Tell us why you’re the ultimate basketball fan and how this dream experience will elevate your connection to the NBA?”

During the Contest Entry Period, interested individuals should visit the website at att.com/dreamsnba (the “Contest Site”) and follow all of the on-screen instructions to enter, providing their first and last name, AT&T telephone number, email address associated with your AT&T account, and with up to a maximum of three (3) selections, state which (up to three (3)) of the ten (10) listed prizes you would like to win if determined to be a winner in the Contest. You will only be eligible to win one (1) of the specific prizes you have selected.

Complete the process of entering by attaching the Essay as directed, attesting to being eligible and having read and agreeing to the Official Rules and clicking on “Submit” to submit your complete Contest Essay Entry into the Contest (subject to the terms of these Official Rules).

Proof of attempting to submit an Entry is not considered proof of delivery or receipt. Illegible or incomplete Entries will be disqualified. False, fraudulent or deceptive Entries or acts shall render its Entrant(s) ineligible. By participating in the Contest, Entrants affirm that they have read and accepted these Official Rules.

ONLY ONE (1) ENTRY PER PERSON AND/OR EMAIL ADDRESS MAY BE SUBMITTED IN THE CONTEST. Entries in excess of this limit will result in only the first Entry submitted being judged and all remaining Entries submitted being disqualified and as such not judged.

How to Submit a Finalist Video Submission: If you are notified that you have been judged to be a Finalist in the Contest, you will then have to submit a Finalist Video Submission answering the same question as submitted in the Essay Entry Phase: “Tell us why you’re the ultimate basketball fan and how this dream experience will elevate your connection to the NBA?”. The Finalist Video Submission must be no longer than 60 seconds, submitted in either .mp4 or .mov format, recorded in vertical landscape and NOT be recorded in HDR. The Finalist Video Submission will then be submitted by replying to the AT&T email address NBADreamsExperiences@att.com within the deadline stated in the Finalist notification. In addition, at the time of and as part of Video Submission, Finalists will be required to provide their social handles for social media platforms. Note: Social platforms will be reviewed for any post(s) by a Finalist that may cause a reputational risk for Sponsor, in its sole and absolute discretion, including but not limited to obscene, racist, offensive and/or hateful posts. For purposes of this section, "posts" may include reposts, likes, shares, and the like. Findings of such post(s) would result in the immediate disqualification of any Finalist.

I. ADDITIONAL REQUIREMENTS FOR ENTRIES AND/OR SUBMISSIONS AS APPLICABLE:

1. Contest Entrants agree to and understand that Entries and Submissions may be made available to the public, including without limitation, posting on the Internet or in a display. Whether or not Entries or Submissions are published on the Internet or otherwise made publicly available, Sponsor does not covenant or guarantee any confidentiality with respect to any Entries.
    
2. Each Entry or Submission must be an original creation of the submitting Contest Entrant, which is under no restriction, contractual or otherwise, that will prevent Sponsor’s use of the Entry or Submission and each Entry or Submission (must be free of any and all liens, encumbrances and claims of third parties. Contest Entrant acknowledges, agrees and warrants that nothing in the Entry or Submission infringes on any copyrights, confidential information, trade secrets or trademarks belonging to any person or entity other than the Contest Entrant absent a suitable license, clearance or permission agreement (proof of which is required upon submission), or violates any person's rights of privacy or publicity and that all necessary releases and permissions have been secured. Each Contest Entrant agrees to indemnify and hold harmless each of the Contest Entities, and each of their owners, officers, directors, employees, and affiliated organizations, and their respective officers, directors, shareholders and employees, from and against any and all claims, demands, damages, costs, liabilities and causes of action of whatsoever nature that are based upon or arise out of any breach by Contest Entrant of these Rules or the warranties and representations made by Contest Entrant in this paragraph. Modifying, enhancing or altering a third party’s preexisting work does not qualify as Contest Entrant’s original creation.
    
3. By submitting an Entry or Submission, the Contest Entrant agrees, for zero compensation and solely for promotional consideration, to grant to Sponsor all intellectual property rights in the Entry or Submission and each of its constituent parts, which rights include, without limitation, the Sponsor’s right to publish, make available to the public and/or reproduce the Entry through any media available at any time during, or after, the Contest Entry Period on any related websites, in any promotional materials, whether related or unrelated to the Contest, and at any other location, whether physical or online, that Sponsor, in its sole discretion, deems appropriate and necessary for the operation and promotion of this Contest. In addition, Contest Entrant warrants that any so called “moral rights” in the Entry or Submission have been waived and Contest Entrant acknowledges and agrees that Sponsor may use any ideas from any Entry or Submission or other submitted materials, whether or not Contest Entrant has been awarded a prize in connection with any such Entry or other materials. Contest Entrant agrees to release, defend, indemnify and hold harmless each of Contest Entities, and each of their owners, employees, directors, officers, shareholders, members, agents, subcontractors and licensees from all claims, demands and causes of action of any nature whatsoever which Contest Entrant or Contest Entrant’s heirs, representatives, executors, administrators, or any other persons acting on Contest Entrant’s behalf or on behalf of Contest Entrant’s estate, have or may have by reason of: (i) Sponsor’s exercise of any rights granted by Contest Entrant in this paragraph; (ii) claims based on violation of any right of publicity or rights of personality, infringement of copyright or trademark, libel, slander, defamation, invasion of privacy, loss of earnings or potential earnings in connection with Sponsor’s use of the Entry or Submission and any portion thereof, or the likeness of any natural person therein.
    
4. Contest Entrants are responsible for securing necessary permissions, releases, and licenses for any material contained in the Entries. Or Submissions. 
    
5. Sponsor is not responsible for any expenses incurred in the creation and uploading of the Entry or Submission by Contest Entrant.

II. CONTENT RESTRICTIONS: Entries and Submissions (as applicable) must not contain material that:

1. Contains, depicts or describes someone smoking or intoxicated,
    
2. Violates or infringes another’s rights, including without limitation, privacy, publicity or intellectual property rights, or that constitutes copyright infringement,
    
3. Contains or depicts material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age,
4. Contains, depicts or describes any unacceptable clothing or adornments, or displays any commercial/corporate advertising other than that of Sponsor (including but not limited to corporate logos, brand names, trademarks, slogans, political, personal and religious statements),
    
5. Contains, depicts or describes indecent or unsafe behavior or situations, profanities or obscenities, including but not limited to nudity, or pornography, or is otherwise inappropriate, indecent, profane, obscene, hateful, tortuous, slanderous or libelous,
    
6. References or depicts persons or organizations without their written permission,
    
7. Disparages any persons or organizations,
    
8. Includes threats to any person, place, business or group,
9. Is unlawful, in violation of or contrary to any applicable federal, state, or local laws and regulations.

Failure of any Entry or Submission to comply with the above “Additional Requirements” and “Content Restrictions” as determined by Sponsor, in its sole discretion, may result in disqualification of Contest Entrant. Without limitation, Sponsor reserves the right in its sole discretion to disqualify any Entry or Submission that, in its sole opinion, refers, depicts or in any way reflects negatively upon the Sponsor, the Contest, or any other person or entity, does not comply with these Official Rules or if Sponsor receives notification about any potential infringements or breaches of law or any other reason set forth herein. All Entries shall become the exclusive property of Sponsor and will not be acknowledged or returned. Entries and Submissions must be suitable for presentation in a public forum, in sole determination of Sponsor. Sponsor reserves the right to remove content that does not meet the above criteria.

ONLY AN ELIGIBLE CONTEST ENTRANT MAY PARTICIPATE IN THE CONTEST AND/OR WIN A PRIZE. SPONSOR EXPRESSLY RESERVES FOR ITSELF, THE RIGHT TO DETERMINE THE ISSUE OF ELIGIBILITY AND/OR THE RIGHT OF ANY CONTEST ENTRANT TO REDEEM OR OTHERWISE BENEFIT FROM A PRIZE AT ANY TIME (INCLUDING, WITHOUT LIMITATION, AFTER A CONTEST ENTRANT WAS EARLIER DEEMED ELIGIBLE). NOTWITHSTANDING ANY OTHER PROVISION OF THESE RULES, IF AT ANY STAGE OF THE CONTEST, SPONSOR DETERMINES THAT NOT ENOUGH, OR NO ELIGIBLE CONTEST ENTRANTS EXIST FROM WHICH TO DETERMINE FINALISTS OR WINNER(S) AND/OR FOR THE AWARDING OF ANY PRIZING, THEN SPONSOR MAY IN ITS SOLE AND EXCLUSIVE DISCRETION DETERMINE THAT NOT ENOUGH, OR NO ELIGIBLE CONTEST ENTRANTS EXIST AND THEN MAY EITHER SUSPEND THE CONTEST OR MODIFY IT (OR ANY PARTS THEREOF) IN ANY EQUITABLE MANNER THAT SPONSOR DEEMS APPROPRIATE IN ITS SOLE AND EXCLUSIVE DISCRETION, INCLUDING, WITHOUT LIMITATION, BY NOT AWARDING THE PRIZING SET FORTH IN THESE RULES OR IMPLEMENTING A NEW STAGE OF THE CONTEST WHERE SPONSOR MAY SEEK NEW CONTEST ENTRANTS AND FROM WHOSE POOL SPONSOR MAY SELECT NEW POTENTIAL CONTEST FINALISTS OR WINNER(S).

For purposes of this Contest, an Entry or Submission is "received" online when the Sponsor’s server records the Entry or Submission information. Proof of sending (such as an automated computer receipt confirming Entry or Submission or "thanks for participating" message) does not constitute proof of actual receipt of an Entry or Submission for purposes of this Contest. Illegible, incomplete and Entries and/or Submissions in excess of the stated limit and Entries and/or Submissions submitted by Entrants who do not meet the eligibility requirements (including all requirements with respect to age and residence) are void. Those who do not follow all of the

instructions, provide the required information in their entry form, or abide by these Official Rules or other instructions of Sponsor may be disqualified.

The Sponsor’s database clock will be the official timekeeper for this Contest. All federal, state, and local rules and regulations apply.

PRIVACY INFORMATION: Participating in the Contest constitutes consent to transfer personal information collected from the Entrant to the Sponsor for the purposes of administering the Contest and for such other purposes to which an Entrant may consent as outlined in these Official Rules. More specifically, Sponsor and/or its third-party administration companies may collect information that an Entrant provides to participate in the Contest and will use personal information an Entrant provides to enter the Contest to actually conduct the Contest. All information collected by Sponsor in connection with participation in the Contest will be subject to Sponsor's Privacy Policy statement as posted on Sponsor’s Privacy Policy: https://about.att.com/csr/home/privacy.html.

Sponsor may provide the personal information an Entrant or other person provides to enter this Contest to third party administration companies for the sole purpose to facilitate this Contest. You understand that any personally identifiable information you provide shall be used only in a manner consistent with these Official Rules.

CONTEST JUDGING, RESOLUTION OF TIES, FINALIST AND WINNER NOTIFICATION: Each of the submitted eligible Contest Essay Entries will be judged according to the Judging Criteria (defined below) by one (1) or more panels of selected judges (the “Judges”) as detailed above. The initial Essay Entry Phase judging shall be completed on/about 1/14/24. The Finalist Video Submission shall be judged according to the same Judging Criteria (defined below). The Finalist Video Phase judging shall be completed about 1/28/24. The one (1) Finalist Video Submission scoring the highest total score in the opinion of the second panel of Judges for each prize detailed herein will be declared the potential Prize winner of the Contest for that specific prize. Each prize may be referred to hereafter, individually as a “Prize” and collectively as “Prizes”. For the resolution of ties, see the Resolution of Ties section below. If a potential Finalist or Prize winner is deemed ineligible or subject to disqualification for any other reason in accordance with these Rules, such Contest Entrant will be disqualified and the eligible Entry, if any, that garnered the next highest score (in the opinion of the Judges) will be declared the new potential Finalist or Prize winner (as applicable). The new Contest Entrant selectee, if any, will need to meet all eligibility requirements and otherwise be in compliance with these Rules in order for such Contest Entrant to be declared a Finalist or a potential Prize winner (as applicable). Should the pool of Contest Entrants be deemed ineligible or otherwise not in compliance with these Rules, Sponsor may at its own discretion decide there are no or fewer than three Finalists for a specific Prize or no or fewer than ten (10) Prize winners. Sponsor’s decisions in all matters relating to this Contest will be final and binding.

Judging Criteria.

As stated above, each eligible Entry will be judged (by the Judges) in accordance with the following equally weighted judging criteria (the “Judging Criteria”):

JUDGES’ SCORING WILL BE AVERAGED AMONG PARTICIPATING JUDGES. NO ENTRANT RECEIVING A TOTAL AVERAGE SCORE OF LESS THAN 35 POINTS WILL BE ELIGIBLE TO BE NAMED A FINALIST OR PRIZE WINNER IN THE CONTEST (AS APPLICABLE).

Resolution of Ties.

In the event of a tie in either round of judging, the tied Entry that received the higher total score from all judges in the “Alignment With AT&T Purpose” category will be declared the Finalist or potential Prize winner (as applicable). In the event of a remaining tie, the tied Entry that received the higher total score from all judges in the “Alignment with Appreciation” category will be declared the Finalist or potential Prize winner (as applicable). In the event of a remaining tie, the tied Entry that received the higher total score from all Judges in the “Strength of Story” category will be declared the Finalist or potential Prize winner (as applicable). If needed, the Judges will re- score the tied Entries in all three (3) categories until the relevant tie is broken.

Finalist and Prize Winner Notification.

The Contest Entrants declared to be the potential Finalists will be notified by email and/or phone on/about 1/15/24 and will be provided the opportunity to submit a Finalist Video Submission in the Finalist Video Phase of the Contest. All Finalist Video Submissions must be submitted according to the details above and received no later than 11:59 pm CST on 1/21/24.

Potential Finalists (or parent or legal guardian if a potential Finalist is considered a Minor) will be required to respond back to Sponsor within forty-eight (48) hours of notification issuance, verifying eligibility in the Contest (per these Official Rules), and willingness to proceed to the Finalist Video Phase by providing a Finalist Video Submission as directed. Failure to respond within this forty-eight (48) hour deadline or comply in any way with the stated requirements may result in forfeiture of the opportunity to proceed to the Finalist Video Phase, at the sole discretion of Sponsor.

The Finalists declared to be the potential Prize winners will be notified by email and/or phone on/about 1/29/24.

Potential Prize winners (or parent or legal guardian if a potential Prize winner is considered a Minor) will also be required to respond back to Sponsor within forty-eight (48) hours of notification issuance and willing to accept a Prize as detailed herein. Failure to respond within this forty-eight (48) hour deadline or comply in any way with the stated requirements may result in forfeiture of applicable Prize at the sole discretion of Sponsor.

Once a potential Prize winner responds to the initial notification, the Contest Administrator or its designee will send to him/her via email, a congratulatory package that includes an Affidavit of Eligibility/Release of Liability and (except where prohibited) Publicity Release form (collectively, this form may be referred to as the “Affidavit/Release”). In order for a potential Prize winner to be declared the official Prize winner of the applicable Prize and to be able to redeem such prize, a potential Prize winner (or parent or legal guardian if a Prize winner is a Minor) will be required to execute and notarize said Affidavit and return it to the Contest Administrator or their designee within three (3) calendar days of issuance. In addition, to be able to redeem a prize, each potential Prize winner (or parent or legal guardian if potential Prize winner is a Minor) will need to complete and send back to the Contest Administrator (or designee) his/her Taxpayer Identification Number on a completed IRS Form W-9.

Each Prize winner’s Travel Companion (as defined below) is required to be at least eighteen (18) years of age or older at the time of Prize winner notification and if not of majority age, be the child or legal ward of the non-Minor Prize winner. The Travel Companion (or non-Minor Prize winner if Travel Companion is the Minor child or ward of the non-Minor Grand Prize winner) will also be required to complete and return an executed Release of Liability form within this same 3-day time period.

The Affidavit/Release, IRS Form W-9 and the Travel Companion release of liability form may be referred to hereafter as “Required Documents”. A pre-paid overnight delivery air bill will be provided to facilitate the return of all Required Documents.

Failure of a potential Prize winner to return the Affidavit/Release and IRS Form W-9 correctly completed and executed, within the required time period, may (at Sponsor’s sole discretion) result in forfeiture of a Prize. If, at the time of attempted notification, a potential Prize winner cannot be reached within a reasonable period (as determined by Sponsor) and after a few reasonable attempts, and/or if a potential Prize winner is found not to meet the eligibility requirements or is otherwise found not to be in compliance with these Official Rules, or if any notification is returned as undeliverable for any reason, a potential Prize winner may at Sponsor’s sole discretion be disqualified and, time permitting, as determined by Sponsor in its sole and exclusive discretion, the Entry that received the next highest score in the opinion of the Judges (as described above) will be deemed a potential Prize winner. If the new potential Prize winner is found not to meet all the eligibility requirements set forth in these Rules, Sponsor may, in its sole and exclusive discretion, determine that there is no winner of the applicable Prize or, time permitting, as determined by Sponsor in its sole and exclusive discretion, continue this process and seek to determine a new potential Prize winner from the remaining Entries. Any new potential Prize winner, if any, will have to meet all eligibility requirements and otherwise be in compliance with these Rules in order to be declared the official Prize winner.

PRIZES: The following are the prizes (each a “Prize” and collectively, the “Prizes”) that are available to be awarded in the Contest. As stated, the Prize winner for each Prize shall be the individual submitting the top scoring Finalist Video Submission (in the opinion of the Judges) which included the specific Prize at the time of Entry.

1. NBA All-Star Ultimate Experience Prize: Prize consists of a trip for Prize winner and one (1) travel companion (“Travel Companion”) during specific dates of 2/16-2/19/24 which includes: (i) roundtrip coach-class airfare for two (2) from a major commercial airport near Prize winner’s home (as determined by Sponsor in its sole discretion) to an Indianapolis, IN airport selected at the sole discretion of Sponsor; (ii) three (3) consecutive nights accommodation (single standard room, double occupancy, room and tax only) at a hotel selected at the sole discretion of Sponsor; (iii) airport/hotel ground transfers in Indianapolis; (iv) two (2) three-day passes to NBA Crossover; and (v) two (2) tickets to NBA All-Star Celebrity Game, NBA All-Star Practice, HBCU Classic, All-Star Saturday Night, G-League Next Up Game and the NBA All-Star Game. The approximate retail value (“ARV”) of this Prize is $4,560.00.

2. NBA Finals Fly-Away Experience Prize: Prize consists of a trip for Prize winner and one (1) Travel Companion during specific dates (TBD) necessary to attend one (1) 2024 NBA Finals game, based on NBA scheduling. Trip includes: (i) roundtrip coach-class airfare for two (2) from a major commercial airport near Prize winner’s home (as determined by Sponsor in its sole discretion) to a destination city airport selected at the sole discretion of Sponsor; (ii) two (2) consecutive nights accommodation (single standard room, double occupancy, room and tax only) at a hotel determined at the sole discretion of Sponsor; (iii) airport/hotel ground transfers in destination city; (iv) admission for two (2) to one (1) NBA Finals game (tickets to be located within the first three (3) rows). ARV of this Prize is $7,700.00.
    
3. 2024 NBA Draft Experience Prize: Prize consists of a trip for Prize winner and one (1) Travel Companion during specific dates (TBD) necessary to attend the 2024 NBA Draft currently scheduled for 6/27/24. The site of the 2024 NBA Draft has not yet been announced. Trip includes: (i) roundtrip coach-class airfare for two (2) from a major commercial airport near Prize winner’s home (as determined by Sponsor in its sole discretion) to a destination city airport selected at the sole discretion of Sponsor; (ii) two (2) consecutive nights accommodation (single standard room, double occupancy, room and tax only) at a hotel determined at the sole discretion of Sponsor; (iii) airport/hotel ground transfers in destination city; (iv) admission for two (2) to one (1) NBA Draft event; (v) an opportunity for a pre-draft photograph taken with select draftees present at the NBA Draft event; and (vi) an opportunity to participate in a pre-draft workout experience with Chris Brickley. ARV of this Prize is $1,900.00.
    
4. Chicago Bulls “Player for the Day” Experience Prize: Prize consists of a trip for Prize winner and one (1) Travel Companion during specific dates (TBD) necessary to attend a 2023-2024 NBA Chicago Bulls regular season experience created at sole discretion of Sponsor. Trip includes: (i) roundtrip coach-class airfare for two (2) from a major commercial airport near Prize winner’s home (as determined by Sponsor in its sole discretion) to Chicago, IL airport selected at the sole discretion of Sponsor; (ii) two (2) consecutive nights accommodation (single standard room, double occupancy, room and tax only) at a hotel determined at the sole discretion of Sponsor; (iii) airport/hotel ground transfers in Chicago area; (iv) and admission for two (2) to 2023-2024 regular season NBA Chicago Bulls experience created at the sole discretion of Sponsor. ARV of this Prize: $6,700.00.
    
5. ARV of this Prize is $4,310.00.

10. NBA / WNBA Talent Shopping Experience Prize: Prize consists of a trip for Prize winner and one (1) Travel Companion during specific dates necessary to participate in AT&T event experience which includes: (i) roundtrip coach-class airfare for two (2) from a major commercial airport near Prize winner’s home (as determined by Sponsor in its sole discretion) to a destination city airport selected at the sole discretion of Sponsor; (ii) two (2) consecutive nights accommodation (single standard room, double occupancy, room and tax only) at a destination city; (iii) airport/hotel ground transfers in the destination city; and (iv) an opportunity to participate in an AT&T experience. ARV of this Prize is $4,200.00.

The total ARV of all Prizes available to be awarded in the Contest is $44,420

Note: Stated ARVs are estimates only, at the time of Official Rules preparation. The actual value of each Prize may vary depending on city of departure, dates and times of travel, airfare fluctuations and accommodation charges at the time of travel bookings. Therefore, the actual value of a Prize awarded may be lower or higher at the time it is fulfilled. Any difference between actual value and stated ARV will not be awarded.

Important Prize Details: Only one (1) Prize per person will be awarded. No substitution by a winner of winner’s Prize shall be allowed. All aspects of a trip or experience Prize, including, but not limited to, specific airline(s), flights, hotel and (when applicable) experiences and players involved in Prize fulfillment are at the sole discretion of the Sponsor. Each Prize winner and his or her Travel Companion will be required to travel on identical itineraries including the same departure city, departure date, destination and return date. Background checks of Prize winners and their respective Travel Companions may be performed at the sole discretion of Sponsor. As stated above, Social platforms will be reviewed for any post(s) by a Finalist that may cause a reputational risk for Sponsor, in its sole and absolute discretion, including but not limited to obscene, racist, offensive and/or hateful posts. For purposes of this section, "posts" may include reposts, likes, shares, and the like. Findings of such post(s) would result in the immediate disqualification of any Finalist. Negative information may result in a Prize winner and/or Travel Companion being declared as ineligible to participate in a Prize trip or any element therein at Sponsor’s sole discretion. Winners must be able to travel and/or participate in Prize during dates determined at the sole discretion of Sponsor or Prize may be forfeited in its entirety and awarded (at Sponsor’s sole discretion) to an alternate. Prize winner’s and their respective Travel Companion will each be required to provide valid government-issued photo ID (Real ID may be required) at time of travel as required by airline, airport, hotel and TSA/government authorities and follow all TSA, airline, hotel, applicable NBA and/or team venue/event and governmental Covid protocol regulations and requirements. A valid credit card or cash deposit by a Prize winner may be required by the applicable hotel at time of check-in for incidentals. If accepting a Prize trip, each Prize winner and his or her Travel Companion will be required to follow all Sponsor and state and local governmental Covid-compliance regulations and requirements during the trip. If a Prize winner elects to travel or partake in a trip with no Travel Companion, no additional compensation will be awarded. All aspects of a Prize trip must be taken together and cannot be taken separately. No changes will be made to travel details once any element(s) of the travel arrangements have been booked except at Sponsor’s sole discretion. All airline tickets issued in conjunction with a Prize are not eligible for frequent flyer miles or any other promotional benefit. Sponsor or its designee will not replace any lost or stolen tickets, travel vouchers or certificates or similar items once they are in a Prize winner’s possession, or in the possession of the applicable Prize winner’s Travel Companion. Prize travel is subject to capacity controls, availability, holiday and other blackout dates and certain other restrictions and conditions, which may include a Saturday night stay, all of which are subject to change. If a Prize winner lives within two hundred (200) miles of prize destination, (as determined by Sponsor) air transportation will not be provided and no additional Prize element substituted. No Prize element will be substituted except at Sponsor’s sole discretion. Contest Entities are not responsible for changes in any element of a Prize schedule. No stopovers are permitted on tickets issued as part of a Prize; if a stopover occurs, the applicable Prize will terminate and full fare will be charged from the stopover point for the remaining trip segment(s), including the return. Once hotel, flight and any other Prize fulfillment arrangements have been confirmed, no changes will be allowed except by Sponsor at its sole discretion.

Travel is subject to the restrictions and conditions set forth below.

Any costs associated with Prize receipt and/or use that are not expressly stated above are not included in a Prize and are the responsibility solely of the applicable Prize winner and his/her Travel Companion. Such costs may include, without limitation, any ground transportation, any unspecified state or local taxes or government surcharges or fees, travel insurance and premiums, excursions, meals, drinks, souvenirs, incidentals, gratuities, telephone calls, charges for changing dates or other personal costs, and expenses not specified herein are the sole responsibility of the applicable Prize winner and his/her Travel Companion. All travel arrangements are to be administered by Sponsor or its designee. Prize winner and his/her Travel Companion will be required to travel on identical itineraries including the same departure city and date, destination and return date. Prize winner and his/her Travel Companion will each be required to provide a valid government issued photo ID at time of travel. Photo identification and credit card or cash deposit may be required at hotel check-in for incidental charges (e.g., room service, use of telephone/IT services, laundry and all other optional extra services not provided in the Grand Prize). If Prize winner elects to travel or partake in a Prize trip with no Travel Companion, no additional compensation will be awarded. Air transportation, hotel accommodations and any additional Prize elements must be taken together and cannot be taken separately. No changes will be made to travel details once any element(s) of the travel arrangements have been booked except at Sponsor’s sole discretion. All airline certificates or tickets issued in conjunction with a Prize are not eligible for frequent flyer miles or any other promotional benefit. Prize winner is solely responsible for any and all excess baggage charges, upgrades, taxes and any other charges incurred after or in connection with the issuance of airline tickets. Sponsor or its designee will not replace any lost or stolen tickets, travel vouchers or certificates or similar items once they are in a Prize winner’s possession, or in the possession of a Prize winner’s Travel Companion. Prize travel is subject to capacity controls, availability and certain other restrictions, which may include a Saturday night stay, all of which are subject to change. Unless otherwise necessitated by Prize provider, no stopovers are permitted on tickets issued as a Prize; if a stopover otherwise occurs, the applicable Prize will terminate, and full fare will be charged from the stopover point for the remaining Trip segment(s), including the return. Sponsor is not responsible for changes in schedule, location or attendance regulations of any portion of prizing detailed herein.

No one-way trips or upgrades allowed. Once hotel and flight arrangements have been confirmed, no changes will be allowed except by Sponsor. Any unclaimed and/or unused Prize travel package elements will be forfeited by a Prize winner and will remain the property of Sponsor or its designee. Prizes are non-transferable, non-assignable and have no cash value. No Prize substitution allowed by a Prize winner. In the event Sponsor or its designee is unable to contact a Prize winner after two (2) separate attempts within two (2) days, Sponsor or its designee’s failure to make arrangements for the applicable Prize travel will not be considered a breach of these Official Rules and Sponsor shall not have any further obligation or liability to provide such Prize to the applicable Prize winner. Sponsor reserves the right to substitute a Prize of comparable or greater value at any time in its sole discretion. Sponsor will have the right to provide a substitute Prize of equivalent retail value in the event Sponsor is unable to deliver a Prize as detailed herein (in whole or in part) for reasons outside Contest Entities’ control.

An unclaimed and/or unused Prize will remain the property of Sponsor or its designee.

Prizes may not be sold, bartered or exchanged by Prize winners except as may be allowed by Sponsor in its sole discretion. Prizes are provided "as is" and without any warranty of any kind. If necessary, due to unavailability for any reason, a Prize of comparable value will be awarded at the sole discretion of the Sponsor.

Note: All details of prizing awarded to the Prize winners are at the sole discretion of Sponsor or its designee.

Awarding of a Prize is subject to the applicable Prize winner’s acceptance of all requisite conditions within these Official Rules and such Prize winner’s ability and agreement to grant the rights set forth in these Official Rules and all required documents detailed herein.

All federal, state, and local tax liabilities are the responsibility of the Prize Winners.

Participants in the Contest (if considered a Minor, his/her parent or legal guardian) agree that (except where prohibited) the Sponsor, NBA Entities and their respective designee(s) and assigns may use participants name, Entry and Finalist Video Submission (if applicable), photos, film clips and/or other visual likeness, biography, statements, voice, and any other personal characteristics, in any and all media or format now or hereafter known, for any purpose, including without limitation marketing, advertising, promotional, publicity and trade purposes without additional compensation to such participant and such individual hereby releases Sponsor and its designee(s) from any liability with respect to such use.

Awarding of each Prize is subject to the applicable Prize winner’s acceptance of all requisite conditions within these Official Rules and such Prize winner’s ability and agreement to grant the rights set forth in these Official Rules and required documentation. By accepting a Prize, each Prize winner acknowledges compliance with these Official Rules.

In the event a Prize winner and/or Travel Companion engages in behavior during the Prize travel (or part thereof) that (as determined by Sponsor in its sole discretion) is obnoxious or threatening, illegal, or that is intended to threaten or harass any other person, or that in any way disparages or adversely affects the reputation, image, and/or customer goodwill of Sponsor or any of its services, products, trademarks, service marks, or logos, Sponsor reserves the right to terminate the Prize travel early, and send Prize winner and Travel Companion home with no further obligations or compensation whatsoever to Prize winner or Travel Companion (which may, in Sponsor’s sole discretion, result in such Prize winner’s disqualification from the Contest and forfeiture of any (and/or all) Prize. In the event a Prize winner or Travel Companion engages in behavior during the Prize travel or experience that (as determined by Sponsor in its sole discretion) is illegal, tortious, or subjects Prize winner or Travel Companion to arrest or detention, Sponsor shall have no obligation to pay any damages, fees, fines, judgments or other costs or expenses of any kind whatsoever incurred by Prize winner or Travel Companion as a result of such conduct.

EACH POTENTIAL PRIZE WINNER IS SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE CONTEST. AN ENTRANT IS NOT A WINNER OF A PRIZE UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.

LIMITATION OF LIABILITY AND RELEASES: The Contest Entities, and any and all Internet server(s) and access provider(s), and each and all of their respective parent corporations, successors, subsidiaries, affiliates, governors, owners, distributors, retailers, agents, related entities, licensees, assigns, and all of their respective officers, directors, shareholders, employees, agents and representatives (collectively, “Releasees”) are not responsible for: any incorrect or inaccurate Entry information; inability to connect with any website, including but not limited to the Contest Site; human errors; technical malfunctions; failures, omissions, interruptions, deletions or defects of any telephone network, computer online systems, computer equipment, servers, providers, hardware or software, including without limitation any injury or damage to participant’s or any other person’s computer relating to or resulting from participation in the Contest; theft, tampering, destruction, or unauthorized access to, or alteration of, Entries; data that is processed late or incorrectly or is incomplete or lost due to telephone, computer or electronic malfunction or traffic congestion on telephone lines or the Internet or any web site or for any other reason whatsoever; typographical, printing or other errors; any Contest related materials which are late, lost, incomplete, misdirected, stolen, mutilated, illegible, orany combination thereof. Entrants, by participating in the Contest, agree that the Releasees shall have no liability whatsoever for, and will be released and held harmless by Entrants from any claim, action, liability, loss, injury or damage, including, without limitation, personal injury or death to winner or any third party or damage to personal or real property due in whole or in part, directly or indirectly, by any reason including the acceptance, possession, use or misuse of the Prize and/or participation in this Contest.

GRANT OF RIGHTS: By participating in the Contest, each Contest Entrant (and the Contest Entrant’s parent or legal guardian if the Contest Entrant is considered a Minor) hereby grants and agrees to grant to Sponsor, NBA Entities and their respective affiliates, designees and assigns and to their respective successors, licensees, assignees and other authorized designees, a perpetual, fully-paid, royalty-free, transferable, fully sublicensable, worldwide, irrevocable, non- exclusive right and license to reproduce, transcode, edit, modify, combine with others, create derivative works from, transmit, disseminate, distribute, re-use, re-post, make available, combine with other content, exhibit, perform, publish, display, use and otherwise exploit the Contest Entrant’s Essay Entry information, Finalist’s Video Submission and any comments or statements of the Entrant related to the Contest or any of the Contest Entities, all of the foregoing in any media, manner, technology or content delivery mechanism now known or hereinafter devised for the following purposes: (A) in connection with the Contest, its administration, promotion, advertising or publicity, and/or (B) otherwise in connection with the promotion, advertising, publicity or other exploitation of the Contest, and/or any subsidiary and ancillary rights of any nature relating to the Contest, and/or (C) as otherwise desired by Sponsor in its sole discretion not in connection with the Contest , each of the foregoing without the necessity of obtaining further consent or making any payments.

GOVERNING LAW/DISPUTES: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of Entrants and Releasees in connection with the Contest will be governed by and construed in accordance with the internal laws of the State of Texas, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s laws. By entering the Contest, Entrants hereby submit to the jurisdiction and venue of the federal and state courts of Dallas County, Texas, United States and waive the right to have disputes arising out of the subject matter hereof adjudicated in any other forum.

BY ENTERING AND PARTICIPATING IN THE CONTEST, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CONTEST, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED FIFTY DOLLARS ($50.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED FIFTY DOLLARS ($50.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

FORCE MAJEURE: Releasees shall not be liable to the Prize winners or any other person for failure to supply any Prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, pandemic, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, network or computer problems, internet problems, hacking, computer viruses, unauthorized computer access, tampering, or any other cause beyond Sponsor’s sole control. Releasees shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by the air carrier(s), hotel(s), experiences or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. Releasees’ legal responsibility for loss or damage to baggage shall be strictly governed by the Warsaw Convention and the other applicable conditions of carriage set forth on the passengers’ tickets.

GENERAL: If for any reason this Contest is not capable of running as planned, or if this Contest or any web site associated therewith (or any portion(s) thereof) becomes corrupted or does not allow the proper playing of the Contest and processing of Entries in accordance with these Official Rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by Entrants, fraud, technical failures, or any other causes, in the Sponsor’s sole opinion, corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Contest, the Sponsor reserves the right, at its sole discretion, to disqualify any individual implicated in such action and/or to cancel, terminate, modify, or suspend this Contest or any portion thereof. In the event this Contest is canceled, the Sponsor may (at Sponsor’s sole discretion) complete the Contest utilizing all eligible, non-suspect Entries received prior to the time of the action or event warranting such cancellation. If such cancellation, termination, modification, or suspension occurs, notification will be posted at the Contest Site. The Releasees are not responsible for the actions of Entrants in connection with the Contest, including Entrants’ attempts to circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Contest. Persons found tampering with or abusing any aspect of this Contest, or who Sponsor believes to be causing malfunction, error, disruption or damage may be disqualified. Additionally, any attempt to cheat the Contest, as determined at the sole and absolute discretion of Sponsor, may result in immediate disqualification of the Entrant, as well as other possible consequences, including disqualification from any and all existing and future promotion, contest or sweepstakes. ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

If a dispute arises about who submitted an Entry or was declared to be a Prize winner, the Entry will be deemed submitted by the individual named on the winning Entry. A potential winner may be requested to provide Sponsor with proof that the potential winner is the individual associated with the winning Entry and that all eligibility requirements are met. In the event a dispute regarding the identity of the individual who actually submitted an Entry cannot be resolved to Sponsor’s satisfaction, the affected Entry will be deemed ineligible. The Releasees are not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in Entrant's email account to receive email messages. Also, the Releasees are not responsible, and may disqualify an Entrant, if her email address or telephone number does not work, if it is changed without Entrant giving prior written notice to Sponsor, or if email communications sent are directed to Entrant’s spam or junk folder.

NOTE: Entries must be made by the Contest Entrant only as detailed above. Contest Entries made by any other individual or any entity, and/or originating at any other web site or email address, including, but not limited to, commercial contest subscription, notification and/or submitting service sites, will be declared invalid and disqualified for this Contest. Contest Entries generated by a script, computer programs, macro, programmed, robotic or other automated means are void and may be disqualified. The use of any device or software to automate the Entry process is prohibited. Contest Entries or other Contest materials that are incomplete, illegible, corrupted, damaged, destroyed, forged, false, lost, late, misdirected, deceptive, in greater quantity than the limit stated above or otherwise not in compliance with the Official Rules may be disqualified from the Contest at Sponsor’s sole and absolute discretion.

BY PARTICIPATING IN THE CONTEST, EACH ENTRANT AGREES: (I) TO BE BOUND BY THESE OFFICIAL RULES AND ALL APPLICABLE LAWS; (II) TO WAIVE ANY RIGHTS TO CLAIM AMBIGUITY WITH RESPECT TO THESE OFFICIAL RULES AND ANY PROMOTIONAL MATERIALS RELATED TO THE CONTEST; (III) TO WAIVE ALL OF HIS/HER RIGHTS TO BRING ANY CLAIM, ACTION, OR PROCEEDING AGAINST ANY OF THE CONTEST ENTITIES; AND (IV) TO RELEASE EACH OF THE CONTEST ENTITIES AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES OR OTHER AUTHORIZED DESIGNEES FROM ANY LIABILITY (INCLUDING, BUT NOT LIMITED TO, LIABILITY FOR ANY PROPERTY LOSS, DAMAGE, PERSONAL INJURY, BODILY INJURY, DEATH, LOSS, EXPENSE, ACCIDENT, DELAY, INCONVENIENCE OR IRREGULARITY) THAT MAY ARISE IN CONNECTION WITH, AS APPLICABLE: (A) ENTRANT’S PARTICIPATION OR INABILITY TO PARTICIPATE IN THE CONTEST; (B) AMBIGUOUS JUDGING CRITERIA; (C) TYPOGRAPHICAL ERRORS IN THE OFFICIAL RULES OR ANY OFFLINE, ONLINE, OR WIRELESS CONTEST-RELATED PROMOTIONAL MATERIAL; (D) ACCEPTANCE OR POSSESSION, DEFECTS IN, USE, MISUSE OR INABILITY TO USE ANY PRIZE (OR ANY COMPONENT THEREOF); (E) ANY CHANGE IN PRIZING AS PERMITTED HEREUNDER OR OTHERWISE DUE TO REASONS BEYOND ANY OF THE CONTEST ENTITIES’ CONTROL; (F) HUMAN ERROR; (G) INCORRECT OR INACCURATE TRANSCRIPTION, RECEIPT, TRANSMISSION, CODING, TRANSCODING, OR COMPUTING OF ANY MATERIALS; (H) ANY TECHNICAL MALFUNCTIONS OR UNAVAILABILITY OF ANY WEB SITE, MOBILE APPLICATION OR NETWORK, TELEPHONE NETWORK, COMPUTER ONLINE SYSTEM, COMPUTER DATING MECHANISM, COMPUTER EQUIPMENT, SOFTWARE, INTERNET OR WIRELESS SERVICE PROVIDER, U.S. MAIL SERVICE, PRIVATE MAIL SERVICE OR COURIER UTILIZED BY ANY OF THE CONTEST ENTITIES OR BY AN ENTRANT; (I) INTERRUPTION OR INABILITY TO ACCESS CONTEST SITE, OR ANY OTHER PARTICIPATING WEB SITES, ANY CONTEST-RELATED WEB PAGES, OR ANY ONLINE SERVICE VIA THE INTERNET, OR WIRELESS SERVICE DUE TO HARDWARE OR SOFTWARE COMPATIBILITY OR OTHER PROBLEMS; (J) ANY LOST/DELAYED DATA TRANSMISSIONS, OMISSIONS, INTERRUPTIONS, DEFECTS, AND/OR ANY OTHER ERRORS OR MALFUNCTIONS; (K) ANY WRONGFUL, NEGLIGENT, OR UNAUTHORIZED ACT OR OMISSION ON THE PART OF ANY OTHER ENTRANT OR INDIVIDUAL PURPORTING TO ACT ON BEHALF OF ANY SUCH ENTRANT, AND/OR ANY OF THE CONTEST ENTITIES AND/OR ANY OF THEIR AGENTS, EMPLOYEES OR AUTHORIZED DESIGNEES; (L) ANY WRONGFUL, NEGLIGENT, OR UNAUTHORIZED ACT OR OMISSION ON THE PART OF ANY OTHER PERSON OR ENTITY NOT AN EMPLOYEE OF ANY OF THE CONTEST ENTITIES; OR (M) ANY OTHER CAUSE, CONDITION OR EVENT WHATSOEVER BEYOND THE CONTROL OF ANY ONE OR MORE OF THE CONTEST ENTITIES. PRIZE WINNER HEREBY ACKNOWLEDGES THAT THE CONTEST ENTITIES HAVE NEITHER MADE NOR ARE IN ANY MANNER RESPONSIBLE OR LIABLE FOR ANY WARRANTY, REPRESENTATION OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO ANY PRIZE OR COMPONENT THEREOF.

INDEMNIFICATION.

Each Contest Entrant shall indemnify, defend and hold harmless each of the Releasees from and against any and all third party claims, demands, causes of action, proceedings, expenses, and/or liabilities resulting or arising from or in connection with : (i) Sponsor’s and/or any of its affiliates’ or their respective licensees’ and/or authorized designees’ exercise of any of their rights granted hereunder; (ii) the Contest Entrant’s participation in the Contest; (iii) the Contest Entrant’s failure to comply with any one or more of the Official Rules or any Applicable Laws; and/or (iv) Contest Entrant’s submission of his/her Entry without the Contest Entrant’s having obtained, from the person(s) who may have participated or assisted in the development of the Entry, permission to use such Entry in connection with the Contest as set forth herein and to grant Sponsor, its affiliates and their licensees and authorized designees the right to use such Entry as set forth in the Grant of Rights section of the Official Rules.

MISCELLANEOUS: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Contest-related materials, privacy policy or terms of use on the Contest Site and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.

No Injunctive Relief: EACH ENTRANT UNDERSTANDS AND AGREES THAT HE/SHE SHALL HAVE NO RIGHT TO ENJOIN OR RESTRAIN THE DEVELOPMENT, PRODUCTION, ADVERTISING, PROMOTION, DISTRIBUTION OR EXPLOITATION OF THE CONTEST, OR ANY OTHER PROJECT OF SPONSOR OR ANY OF ITS AFFILIATES.
